A) Definitions

BUYER versus END USER
In order to simplify our pricing (one price for each product), we came up with a two-tiered structure: BUYER and END USER (in some cases, BUYER and END USER are the same):

BUYER: the person/entity that buys a SONICITY sound track.

END USER: the person/entity that is most closely, visibly associated with the final product. For companies/organizations with subsidiaries, it is a specific subsidiary that must be identified as the END USER.

Here are a few examples:

  1. Peter runs an independent coffee shop and wants to create a video to promote it online. He selects a SONICITY soundtrack for his video. Licensing: Peter is the BUYER, and the coffee shop is the END USER.

  2. Sam is a free-lance dance artist, creating a video featuring work samples on his personal website, using SONICITY soundtracks.
    Licensing: Sam is both BUYER and END USER

  3. Jessica is the creative director at a medium-size video production company with a number of corporate clients. Jessica selects a SONICITY soundtrack for a video promoting a new restaurant chain X.
    Licensing: Jessica/Jessica’s video company is the BUYER; restaurant chain X is the END USER.

    IMPORTANT: If Jessica and her company want to use the same soundtrack for a different client, the soundtrack must be purchased again for a different END USER.

STAND-ALONE PRODUCT
Each SONICITY soundtrack is sold as a STAND-ALONE PRODUCT. The soundtrack is intended to be combined with video, audio WITH voice-over, or a physical product (such as toys or equipment). The soundtrack cannot be resold as a STAND-ALONE PRODUCT .

UNLIMITED
An END USER can use a purchased soundtrack without limits to geographic location, duration of time, frequency, scope of distribution, or number of different projects.

NON-EXCLUSIVE
“Non-Exclusive” means that SONICITY can sell or license the same soundtrack multiple times to multiple BUYER and/or END USERS.

B) Licensing Terms

TERMS of USE
All SONICITY soundtracks are licensed to the END USER. END USER has UNLIMITED usage rights to purchased soundtracks, including online, broadcasting (TV/radio), advertising, film, podcast, mechanical rights, and more. There are no restrictions to duration, frequency, scope or ways of distribution/dissemination.

All SONICITY soundtracks are NON EXCLUSIVE. GUARANTEE: SONICITY is the creator/owner of all music it licenses, so it guarantees all soundtracks it licenses.

RESTRICTIONS

Ownership
BUYER and/or END USER agrees that SONICITY owns the copyright, publishing rights, and all other related rights in and to the soundtracks.

Re-sale/editing
BUYER and/or END USER cannot sell, sublicense, and/or disseminate any soundtrack as a STAND-ALONE PRODUCT. This also applies to SONICITY soundtracks altered/edited in any way by BUYER and/or END USER.

Re-licensing
BUYER and/or END USER cannot re-license any soundtrack to third parties. If BUYER works with multiple END USERS, a particular soundtrack has to be purchased and licensed again for each END USER.

Fraudulent use
If we suspect fraudulent use on certain accounts, SONICITY retains the right to suspend those accounts. We will always reach out for information/clarifications before any account closures.

Exclusions
SONICITY does not allow usage of soundtracks by persons or entities connected to domestic or international terrorism, human and sex trafficking, child pornography, and illegal drug trafficking, and any other illegal activities and, by taking a license, BUYER and/or END USER agrees not to use any soundtrack in such a manner and acknowledges SONICITY’s unrestricted right to cancel a license for what it deems to be improper use or violation of this License.
